Your UAE free-zone company is probably not outside corporate tax

The 9% federal corporate tax applies above AED 375,000. Free-zone entities can retain preferential treatment — but only where substance and qualifying-income conditions are met.

When the UAE introduced federal corporate tax in 2023, a large number of free-zone companies were told, in effect, that nothing would change. For some that was accurate. For many it was not, and the gap between the two is now being discovered in assessments.

What the law actually does

Corporate tax applies at 9% on taxable profits above AED 375,000, with 0% below that threshold. Free-zone entities can qualify for a 0% rate, but qualification is conditional. The entity must maintain adequate substance in the free zone, and it must derive qualifying income. Income from transactions with mainland UAE or with non-qualifying parties can fall outside the qualifying category and be taxed at the standard rate.

The substance testA licence and a registered address are not substance. Substance means actual employees, actual premises, actual decision-making in the free zone. Companies operated from abroad by a single owner with a virtual office are the ones most exposed.

The obligations that arrive with the tax

Corporate tax brought a compliance apparatus with it: registration, annual filing, transfer-pricing documentation for related-party transactions above the thresholds, and economic-substance reporting. Country-by-country reporting applies to larger groups. None of this existed in the same form before, and a company that was administratively dormant now has annual obligations it may not be tracking.

  • Tax registration and annual return filing — the deadline discipline is new for many free-zone entities.
  • Transfer-pricing documentation where transactions with related parties exceed the thresholds.
  • Economic-substance notification and reporting, assessed against the actual activity in the zone.
  • If the owner operates the business from another country, that country may also claim corporate residence — a conflict the UAE's rules do not resolve for you.

Why this matters beyond the UAE

The UAE is the clearest example of a broader shift: jurisdictions that built their proposition on zero tax have been converging toward minimum effective taxation, driven by the OECD framework and by domestic revenue needs. The practical consequence for planning is that "the company pays no tax there" is no longer a durable foundation. What is durable is a structure where the tax outcome follows from genuine activity in a jurisdiction where that activity is welcome.

Next step

Start with the assessment, not the application.

A fixed-fee assessment reviews your citizenship, family, income sources and timeline, and tells you which two or three routes are actually viable — before you spend anything on an application.
